Terms of Use

Núcleo Condo is a digital platform designed to support the administration and management of condominium and homeowners' associations, including communication between administrators, board members, residents, and other authorized users.

The Platform is currently in its initial production deployment and will continue to evolve through ongoing improvements, feature enhancements, and refinement. Certain features may be modified, added, or removed as the Platform develops.

You may use the Platform only if:

• you have been authorized by your condominium or homeowners' association;
• you use the Platform solely for legitimate community management purposes;
• you comply with these Terms and all applicable laws.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

Subject to these Terms, Globeseam grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for its intended purpose.

This license does not transfer ownership of the Platform or any intellectual property rights.

The Platform and all of its components are the exclusive property of Globeseam LLC.

This includes, without limitation:

• software and source code;
• object code;
• system architecture;
• databases and data models;
• workflows and operational methodologies;
• user interface designs;
• graphics and branding;
• documentation;
• algorithms;
• automation logic;
• templates;
• artificial intelligence functionality;
• business methods;
• know-how;
• inventions;
• copyrights;
• trademarks; and
• all present and future improvements, modifications, updates, and enhancements.

Nothing in these Terms grants you any ownership rights in the Platform or its intellectual property.

All rights not expressly granted are reserved by Globeseam.

Users and their condominium or homeowners' association retain ownership of the information they upload to the Platform.

By using the Platform, you grant Globeseam a limited license to host, process, store, transmit, back up, analyze, and otherwise use such information solely for the purpose of operating, maintaining, securing, supporting, and improving the Platform.

Globeseam does not acquire ownership of your content.

Globeseam continuously develops and improves the Platform.

Any new functionality, enhancements, customizations, modules, workflows, interfaces, ideas, or improvements developed by Globeseam during or after your use of the Platform shall remain the exclusive property of Globeseam, regardless of whether they were inspired by customer feedback, operational experience, feature requests, or other suggestions.

We welcome feedback regarding the Platform.

If you submit comments, suggestions, feature requests, ideas, bug reports, or recommendations, you acknowledge that:

• Globeseam may use them without restriction;
• you will not receive compensation;
• no confidential relationship is created by providing feedback; and
• any resulting intellectual property shall belong exclusively to Globeseam.

You agree not to:

• use the Platform for unlawful purposes;
• interfere with the operation or security of the Platform;
• upload malicious software or harmful code;
• attempt unauthorized access to accounts or systems;
• impersonate another person;
• use the Platform in a manner that disrupts other users.

Except as expressly permitted, you may not:

• copy, reproduce, or distribute the Platform;
• reverse engineer, decompile, or disassemble the software;
• modify or create derivative works;
• remove proprietary notices;
• scrape or extract information from the Platform;
• use automated tools to access the Platform without authorization;
• permit unauthorized third parties to access the Platform;
• use the Platform or knowledge obtained from it to develop, commission, assist in developing, or procure software or services that compete with the Platform or substantially reproduce its functionality, workflows, architecture, or user experience.

The Platform contains confidential and proprietary information belonging to Globeseam.

Without prior written consent, you may not disclose, publish, distribute, or share any non-public information regarding the Platform, including but not limited to:

• screenshots;
• system architecture;
• workflows;
• documentation;
• technical specifications;
• unreleased functionality;
• development roadmap;
• pricing;
• performance information; or
• other proprietary information.

This obligation survives termination of your use of the Platform.

Globeseam may, at its sole discretion:

• modify the Platform;
• add or remove functionality;
• perform maintenance;
• suspend access;
• discontinue specific features; or
• terminate the Platform.

While we aim to provide reliable service, we do not guarantee uninterrupted availability.

The Platform may integrate with third-party products or services.

Globeseam is not responsible for the availability, content, or performance of third-party services.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Globeseam disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.

To the maximum extent permitted by applicable law, Globeseam shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, loss of goodwill, or loss of data arising out of or relating to the use of the Platform.

Globeseam's total cumulative liability arising from these Terms shall not exceed the total amount paid by the applicable condominium or homeowners' association for access to the Platform during the twelve (12) months preceding the event giving rise to the claim. If the Platform is provided without charge, Globeseam's total liability shall be zero dollars (US$0).

You agree to defend, indemnify, and hold harmless Globeseam LLC and its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

• your use of the Platform;
• your violation of these Terms; or
• your misuse of the Platform.

Globeseam may suspend or terminate your access to the Platform at any time if you violate these Terms or if continued access may adversely affect the Platform, its users, or Globeseam.

Upon termination, your right to use the Platform immediately ceases.

Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.

Globeseam may update the Platform or these Terms from time to time.

Material changes to these Terms will be communicated through the Platform or by other reasonable means.

Continued use of the Platform following the effective date of updated Terms constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Puerto Rico.
